Creator & Mentor Addendum

This Addendum is part of Tick's Terms of Service and applies to you if you sell access to anything on Tick (a journal, a community, a 1:1 mentorship tier), own a community, or act as a coach in one. In it, “you” means you as a creator or mentor, and your “buyers” are the people who subscribe to you, join your community, or take your mentorship. Where it conflicts with the Terms on something specific to creators and mentors, this Addendum controls.

1. You are independent

You act for yourself, as an independent business. You are not an employee, contractor, agent, partner or representative of Tick App Collective LLC, and you may not say or imply that you are, or that Tick endorses, vets or supervises you or what you offer. Nothing in the Terms or this Addendum creates an employment, agency, partnership or joint venture relationship. You decide what you offer, how and when, subject to the Terms.

2. You are the seller

When a buyer pays for your journal, community or mentorship, they are buying from you. Tick provides the platform and payment tools and charges you a platform fee. You are responsible for what you sell: describing it accurately, delivering it, and dealing with your buyers.

To sell, you must open and keep a Stripe connected account and accept Stripe's Connected Account Agreement and terms. Stripe, not Tick, holds and moves the money. Tick may give Stripe information about you and your sales that Stripe needs.

3. Fees and payouts

Platform fee: Tick's fee is 5% of each amount a buyer pays you, deducted before the payment reaches your Stripe balance. Stripe's own processing fees also apply.

Payouts: Each payment reaches your Stripe balance once it clears, usually within two business days; the first payout on a new account can take 7 to 14 days. Stripe pays out your balance to your bank account on its schedule for your account, and may delay or hold payouts under its own terms.

We may change the platform fee with at least 30 days' notice; the change applies to payments made after it takes effect.

4. Refunds, disputes and chargebacks

Tick's default for buyers is that subscriptions can be cancelled at any time, access runs to the end of the paid period, and partly used periods are not refunded. You may offer buyers more generous terms, and must honor any refund promise you make.

Refunds and chargebacks come out of your balance, together with any dispute fees Stripe charges. Tick may refund a buyer on your behalf, and recover the amount from you, where we find fraud or that you stopped providing what you sold. If your Stripe balance cannot cover an amount you owe, you agree to pay it.

5. Taxes

You are responsible for all taxes on your sales and your income from Tick, including income tax, self-employment tax, and any sales, use, goods and services or value added tax on what you sell, and for filing any returns. Stripe may issue tax forms, such as a Form 1099-K in the United States, based on the payments it processes for you, and may ask you for tax information. Tick does not give tax advice.

6. What you may not do for your buyers

You may teach, share your own trades and journal, review a buyer's journal, and discuss trades that have already happened. You may not, on or off Tick, in connection with anything you offer on Tick:

  • give any buyer personalized investment or trading advice, or recommendations to buy, sell or hold anything;
  • publish or sell signals, alerts, calls, entries, targets or stops for others to act on;
  • exercise discretion over, or place trades in, anyone else's account, or accept their login credentials;
  • accept money or assets from anyone to trade or invest for them, or pool anyone's funds;
  • promise or suggest returns, profits or a level of performance, or describe past results as typical or expected;
  • present performance that is not from Tick-verified trades as if it were, or present hypothetical, simulated or selected results without saying so clearly;
  • hold yourself out as a registered investment adviser, CTA, broker or other licensed professional unless you are one, and then only in line with the rules that apply to you.

You are responsible for knowing and following any laws that apply to what you offer, including securities, commodities and consumer protection laws and the rules on endorsements and testimonials. If you are registered or licensed anywhere, you are solely responsible for meeting its obligations.

7. 1:1 mentorship tiers

A 1:1 mentorship is a tier inside a community you own. Only a trader with a verified broker connection can switch one on. Mentees you approve join that community as paid members and lose that paid access when the mentorship ends. The terms you describe for the tier, such as how often you review journals, how quickly you reply and what calls you offer, are your own statements and you must keep them accurate. Tick shows them as self-reported.

Your mentees' data is confidential. While a mentorship is active you can read the mentee's journal and trades, including trades they have not posted. You may use that information only to mentor that mentee. You may not share, publish, copy out of Tick, sell, trade on, or use it for any other purpose, during or after the mentorship, unless the mentee agrees in writing. You must not try to see days a mentee has marked private.

Mentees and members can rate you and your community, and reviews are public. You may not offer anything in exchange for a review, or pressure anyone about one.

8. Community owners

You are responsible for your community: its channels, lessons, tags and access settings, the admission codes you share, and moderating what members post in it. Members' content remains subject to the Terms, and Tick may remove content or members that break them. If you offer paid access, the rest of this Addendum applies to it.

Members' progress and journals are confidential. Through the Member desk you can see the progress figures, and for some members the full journal, that they chose to share with you. The same duty of confidentiality as in Section 7 applies: use it only to help that member inside your community, never share, publish, copy out of Tick, sell or trade on it, and never ask a member to share more than they chose. To post a member's result in your community you must use the request that asks them first, and post it only if they approve.

Coaches. You may name coaches, who can see what members share with coaches once their access starts 24 hours after you give it. Name as coach only people who actually coach your members. Giving and removing coach access to let someone look at a member's information is a breach of this Addendum; someone who loses coach access cannot be given it again for 7 days. A coach must accept confidentiality terms before their access starts and is bound by this section as if they were the owner. Every look is logged and visible to the member.

The Member desk is a paid feature for owners, with one 14-day trial per owner account; its price is set out when you buy it.

9. Your content and materials

Everything you sell or share, including lessons, videos, files and posts, is your content under Section 8 of the Terms, and your promises about it there apply in full. In particular, you must own or be licensed for every part of it, including music and footage in videos. Buyers may use what you sell only for their own use on Tick, unless you allow more.

10. Tick’s rights

Tick may, at any time and without liability to you: remove or restrict anything you offer; suspend your ability to sell or your mentor account; pause or cancel your buyers' subscriptions; issue refunds to buyers as described in Section 4; and report suspected unlawful activity to the authorities. Where practical we will tell you why.

11. Your responsibility to Tick

In addition to Section 18 of the Terms, you will defend, indemnify and hold harmless Tick and its members, managers, employees and agents against any claim by a buyer, mentee, regulator or anyone else arising from what you offer or sell, your dealings with your buyers and mentees, your statements about your performance or services, your taxes, or your breach of this Addendum.

12. Stopping

You can stop selling, switch off your mentor account, or end a mentorship at any time. Buyers keep what they have paid for until the end of the current period unless you refund them.
